About Florida Series Limited Liability Companies
The Uniform Protected Series Provisions of chapter 605, Florida Statutes are effective July 1, 2026. These provisions add new filings to allow Florida LLCs to designate, change, cancel, or dissolve protected series.
Florida Series LLC
- 1. What is a Florida Series LLC?

A series LLC is a Florida Limited Liability company that has designated one or more protected series. You cannot file a Florida Series LLC. An existing Florida LLC becomes a Florida Series LLC when they designate their first protected series.

A protected series is a legally distinct portion of a Limited Liability Company. It is not a separate entity and will not have its own record/document number or page on Sunbiz.
Designation of a Florida Protected Series
- 3. How do I file a Protected Series?

Any existing, active Florida LLC, may file a Designation of Protected Series online, starting July 1, 2026, at 10 am ET. It will be $25 per protected series and may only be filed online.
You will need to know the record/document number of the Florida LLC that will be doing the filing and the name you want to use.
- 4. What are the name rules for a Florida Protected Series?

A protected series name is really two distinct parts. The first part, the beginning of the name, must match the name of the filing LLC.
The second part must:
- Include a protected series identifier, “PS”, “P.S.”, or “Protected Series”
- Be distinguishable from any other protected series.
- Not include any identifiers associated with other business entities such as “GP”, or “Incorporated”
The online form will automatically set the first part of the protected series name and add a dash (-) as a separator. You will just need to type in the second part.

Managing Florida Series LLCs and Florida Protected Series
- 5. Does a Florida Series LLC have to File an Annual Report?

Yes! The Florida series LLC is still a Florida LLC and must file an annual report as usual. The annual report will automatically list all designated protected series that have not been cancelled or relocated.
- 6. Does a Florida Protected Series have to File an Annual Report?

No! A Florida Protected Series is not a distinct entity and does not file annual reports.
Certificate of Status
- 7. Can I get a Certificate of Status for a Florida Series LLC?

Yes! You can add-on a certificate of status with most filings or you can order a certificate of status online. The fee will be $5.
Please note that the certificate of status will not speak to the fact that the entity is a Florida series LLC.
- 8. Can I get a Certificate of Status for a Florida Protected Series?

Yes! You can add-on a certificate of status when you do any protected series filing online. The fee will be $5 per protected series on that filing.
You can also order a stand-alone certificate of status for one specific protected series at services.sunbiz.org. After you put in the record/document number for the filing LLC, you can select the specific series you want.

- 9. How long will my Florida Series LLC/Protected Series filing take to process?

Protected Series Designation, Change, Dissolution and Cancellation filings submitted online will be automatically filed within an hour or two of submission.
